Draft for review. Highlighted items are details FWC must confirm. This text has not yet been reviewed by a lawyer.
1. About these Terms
FWC (the website at fwc.network and its services) is operated by [Legal entity name, e.g. First World Community Private Limited], a [company / LLP / trust] registered in India, with its registered office at [registered address] ("FWC", "we", "us").
These Terms are an agreement between you and FWC. By creating an account or using FWC you agree to them and to our Privacy Policy. If you do not agree, do not use FWC.
This document is an electronic record under the Information Technology Act, 2000 and the rules made under it, and does not need a physical or digital signature.
2. Who can use FWC
- You must be at least 18 years old and able to form a binding contract under Indian law.
- You must give your real name and accurate information, and keep it up to date.
- One person, one personal account. Businesses are represented through Business Pages, not separate personal accounts.
- If you act for a company or organisation, you confirm you are authorised to bind it to these Terms.
- You may not use FWC if we have previously removed your account, or if the law prohibits you from doing so.
3. Your account
- Keep your password private and use one you do not use elsewhere. You are responsible for activity on your account.
- You must confirm your email address before you can post, send messages or trade in the Marketplace.
- If you believe someone else has accessed your account, change your password in Settings (this signs out every other device) and tell us at [support email].
- If you sign in with Google, Google's own terms also apply to that sign-in.
4. Trust & Safety: community standards
FWC is a professional network. Treat others as you would in a business meeting. You must not:
- Impersonate anyone, create fake profiles or Business Pages, or misrepresent your identity, qualifications or affiliations.
- Harass, threaten, bully or discriminate against anyone, or post hateful, sexually explicit, violent or otherwise objectionable content.
- Post content that is unlawful, defamatory, invades someone's privacy, or infringes copyright, trademarks or other rights.
- Send spam, chain messages, unsolicited bulk promotions or misleading offers, or post fake engagement or reviews.
- Post content prohibited by Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, including content that threatens the unity, integrity, defence, security or sovereignty of India, or public order.
- Upload malware, try to access accounts or data that are not yours, probe or disrupt the service, or get around its security or rate limits.
- Scrape, copy or harvest members' data, or use FWC to build a competing database, without our written permission.
Reporting, blocking and moderation
- You can report a member, post, comment, article or Marketplace listing. Reports go to FWC's moderation team; the person reported is not told who reported them.
- You can block a member. Neither of you will then see the other's posts or be able to contact each other.
- Only the author of a post can edit or delete it. FWC may remove content that breaks these Terms or the law. When we remove your post, we tell you and give the reason.
- We act on valid orders from courts and government agencies as the law requires.
5. Your content
You own what you post: your profile, posts, comments, photos, articles, listings and messages ("your content").
So that FWC can work, you give FWC a non-exclusive, royalty-free, worldwide licence to host, store, copy, display and distribute your content within FWC, and to make technical changes (such as resizing images). This licence ends when you delete the content or your account, except where it has been reposted or shared by others within FWC, is held in backups for a limited time, or must be kept by law.
- You choose who can comment on your posts. Other members can save, repost, send or report them.
- You confirm you have the rights to everything you post, including photos of other people.
- We do not sell your content, and we do not use it for advertising.
6. Business Pages
- Only create a Business Page for an organisation you are authorised to represent.
- Only a page's owner can edit it, post as it and see its analytics.
- A verification badge means FWC has reviewed information about the organisation. It is not an endorsement, and it does not guarantee the organisation's products, services or conduct.
- FWC may remove or transfer a page that impersonates an organisation or breaks these Terms.
7. Marketplace Policy
FWC's role
The FWC Marketplace connects buyers with independent sellers. FWC is a marketplace platform, not the seller. Each sale is a contract directly between buyer and seller, and FWC does not own, stock, inspect or deliver the goods and services listed.
Payments go directly to the seller. Buyers pay by cash on delivery, UPI, bank transfer or invoice terms, as agreed with the seller. FWC does not collect, hold or refund payments.
Sellers must
- Complete seller onboarding with accurate business details (legal or trade name, business type, address, contact details and GSTIN where applicable), and keep them current.
- List only goods and services they are legally allowed to sell, with truthful titles, descriptions, images, prices, taxes, delivery terms and return, refund and warranty policies.
- Honour the price and terms shown when an order was placed, dispatch within the stated time, and keep buyers informed.
- Answer "Get Best Price" enquiries in good faith, and comply with tax, consumer-protection, labelling and all other laws that apply to what they sell.
Buyers must
- Give accurate order and delivery details and pay the seller as agreed.
- Leave reviews only for purchases they actually made, and keep them honest.
Not allowed
- Illegal, counterfeit, stolen or recalled goods; weapons, drugs and controlled substances; prescription medicines; hazardous materials; and anything else Indian law restricts without the required licence.
- Fake listings, bait pricing, fake or paid-for reviews, and asking buyers to pay outside the agreed method in order to avoid a commitment.
Problems with an order
Contact the seller first, for example by messaging them on FWC. If that does not resolve it, report the listing or contact our Grievance Officer (section 15). We can review the case, and remove listings or suspend sellers. Because payments do not pass through FWC, we cannot issue refunds ourselves. In line with the Consumer Protection (E-Commerce) Rules, 2020, each listing shows who the seller is, and we acknowledge complaints within 48 hours and aim to resolve them within one month.
8. Investors, programs and events
- Investor Connect introduces founders and investors. FWC is not a stock broker, investment adviser or fundraising portal, and nothing on FWC is investment, legal or tax advice. Do your own due diligence and follow SEBI and other applicable rules.
- Programs, chapters and events may be run by FWC or by community members. The organiser's stated terms apply, and FWC is not responsible for events it does not run.
9. Verification
You may submit identity documents or business details to be verified. We use them only to review your request, as described in the Privacy Policy. Verification reduces risk, but it does not guarantee who a member is or how they will behave, so use your own judgement.
10. Fees
Creating an account and using the core network is free. [If FWC offers paid plans or seller fees, describe them here: what is charged, when, taxes, renewal, cancellation and refunds. Otherwise keep: "FWC does not currently charge members or sellers. We will give at least 30 days' notice before introducing any fee."]
11. Suspension and closing your account
- You can stop using FWC at any time. To delete your account, email [support email] from your account's email address.
- We may restrict, suspend or remove an account, page, post or listing that breaks these Terms or the law, puts others at risk, or exposes FWC to legal liability. Where appropriate and lawful, we tell you why and give you a chance to respond.
- Sections 5, 7 (for completed orders), 12, 13 and 15 continue after your account closes.
12. Disclaimers and limitation of liability
FWC is provided "as is" and "as available". We work to keep it secure and running, but we do not promise it will be uninterrupted or error-free. We are not responsible for what members, sellers, investors or organisers say, sell or do.
To the fullest extent the law allows, FWC is not liable for indirect, incidental, special or consequential losses, or for loss of profits, data or goodwill. FWC's total liability to you for any claim about the service is limited to [the greater of โน[amount] or the fees you paid FWC in the 12 months before the claim]. Nothing in these Terms limits liability that cannot be limited by law.
You agree to indemnify FWC against claims arising from your content, your sales or purchases, or your breach of these Terms or the law.
13. Governing law and disputes
These Terms are governed by the laws of India. The courts at [city, e.g. Hyderabad] have exclusive jurisdiction, subject to any right you have as a consumer to bring a complaint before a consumer commission where you live. Before going to court, please contact us so we can try to resolve the dispute informally.
14. Changes to these Terms
We may update these Terms as FWC or the law changes. For significant changes, we will notify you on FWC or by email at least [15] days before they take effect. If you keep using FWC after that, the new Terms apply.
15. Grievance Officer and contact
Under the Information Technology Act, 2000, its Intermediary Rules and the Consumer Protection (E-Commerce) Rules, 2020, you can send complaints about content, accounts, listings or these Terms to our Grievance Officer:
